Terms & Conditions
These Terms & Conditions govern your purchase, installation, activation, and use of the DeepShelf desktop application, website, licensing service, updates, and optional cloud backups.

1. Acceptance and eligibility
By purchasing, downloading, activating, or using DeepShelf, you agree to these terms and the Privacy Policy. If you use DeepShelf for a business or organisation, you confirm that you are authorised to accept these terms on its behalf. You must have legal capacity to enter into this agreement.
2. The DeepShelf product
DeepShelf is a local-first desktop application for store inventory, point-of-sale transactions, customers, employees, reports, audit history, and related operations. Supported daily operations are designed to continue offline after successful online activation. Certain features, including purchase, activation, licence recovery, updates, support, and cloud backups, require internet access.
3. Licence grant and limits
After verified payment, DeepShelf grants the purchaser a limited, non-exclusive, non-transferable, revocable licence to install and use the purchased version for one store on one computer, subject to these terms.
- The licence may not be shared, resold, sublicensed, published, or used to activate unrelated stores or computers.
- Changing computers may require support-assisted deactivation or recovery and identity or purchase verification.
- You may not bypass activation, licence limits, security controls, or update-entitlement checks.
- You may not copy, modify, reverse engineer, decompile, or create derivative works from DeepShelf except to the limited extent that applicable law expressly permits despite this restriction.
4. Prices and payment
Prices, currency, and included features are shown at checkout. Payment is processed by Paystack and is subject to Paystack’s applicable terms. A payment is not complete until it has been successfully verified. You are responsible for accurate checkout information and any lawful taxes, bank charges, or network fees applicable to you.
5. Licence delivery and activation
The licence key is made available after verified payment. Keep it confidential and store it safely. Activation requires an internet connection and associates the licence with the store name, app version, and a cryptographically hashed device identifier. DeepShelf may reject or revoke an activation obtained through fraud, chargeback, misuse, or breach of these terms.
6. Updates and cloud-backup period
A single-store licence includes updates and cloud-backup access for one year from purchase unless checkout states otherwise. The exact end date is recorded with the licence. After that period:
- the already activated, supported version may continue performing local offline operations;
- new versions and cloud-backup access are not included unless an extension or renewed entitlement is offered and obtained; and
- online services may change or require a currently supported version.
7. Cloud backups
Cloud backup is an optional convenience feature, not a substitute for your own backup and disaster-recovery process. The current limits are 250 MB per upload, the newest 30 backups, and 2 GB retained per licence. Older backups are automatically removed when retention limits are exceeded.
You are responsible for checking backup status, keeping the computer and internet connection available for scheduled uploads, downloading important copies, and testing your ability to restore data. We do not promise that every scheduled backup will occur or that a backup will prevent every loss.
8. Your data and legal responsibilities
You own or retain the rights you already have in business data entered into DeepShelf. You are responsible for its accuracy, lawfulness, security, retention, and use, including personal information about customers and employees. You must have a lawful basis to collect it, restrict access appropriately, and provide any notices or rights required by applicable law.
You grant DeepShelf the limited permission needed to transmit, store, verify, rotate, and return data when you enable cloud backup or request support involving that data.
9. Acceptable use
You must not use DeepShelf to violate law, infringe another person’s rights, distribute malware, interfere with the service, probe systems without permission, upload unlawful material, or facilitate fraud. You must protect administrator credentials, employee access, licence keys, devices, and local database files.
10. Availability and product changes
We may maintain, update, replace, suspend, or discontinue online features to address security, reliability, legal, provider, or product needs. We will use reasonable efforts to avoid unnecessary disruption. Features described as beta, preview, or coming soon may change and are not guaranteed for production use.
11. Intellectual property
DeepShelf, its source and object code, design, branding, documentation, and service content are owned by DeepShelf or its licensors and are protected by applicable intellectual-property laws. These terms grant a right to use the software; they do not transfer ownership.
12. Third-party services
DeepShelf relies on third-party services such as Paystack and infrastructure providers. Their services are governed by their own terms and may be unavailable or changed independently of DeepShelf. We are not responsible for third-party products beyond the extent required by applicable law.
13. Refunds and payment disputes
If payment was duplicated, a licence was not delivered after verified payment, or the licence cannot be activated because of a fault attributable to DeepShelf, contact us promptly so we can investigate, restore access, replace the licence where appropriate, or provide any remedy required by applicable law. Other refund requests are assessed in light of the circumstances, licence use, and applicable law.

14. Disclaimers
To the maximum extent permitted by law, DeepShelf is provided “as is” and “as available”. We do not guarantee uninterrupted or error-free operation, that every feature will meet every business or regulatory requirement, or that data can always be recovered. You are responsible for reviewing transactions, reports, taxes, stock counts, employee access, and backups. Nothing in these terms excludes a warranty or right that cannot lawfully be excluded.
15. Limitation of liability
To the maximum extent permitted by law, DeepShelf will not be liable for indirect, incidental, special, punitive, or consequential loss, including lost profits, lost sales, business interruption, or lost data. DeepShelf’s total liability arising from the product or services will not exceed the amount you paid for the affected licence. These limits do not apply where liability cannot lawfully be limited or excluded.
16. Suspension and termination
We may suspend online services or revoke a licence where reasonably necessary to address fraud, payment reversal, security risk, unlawful use, or a material breach of these terms. Where practical, we will provide notice and an opportunity to resolve the issue. Provisions concerning ownership, payment obligations, disclaimers, liability, and disputes survive termination.
17. Governing law and disputes
These terms are governed by the laws of the Republic of Ghana, without limiting any mandatory consumer protection that applies to you. The parties should first attempt to resolve a dispute in good faith through direct communication. If it cannot be resolved, the courts of competent jurisdiction in Ghana will have jurisdiction, unless applicable law requires otherwise.
18. Changes and general terms
We may update these terms for future purchases or continued online-service use. Material changes will be communicated through the website or another reasonable channel. If one provision is unenforceable, the remaining provisions continue in effect. Failure to enforce a provision is not a waiver. You may not transfer this agreement without our consent; we may transfer it as part of a reorganisation or business transfer.
